Position Overview
Lindsay Corporation is seeking an experienced Assistant General Counsel to join its legal team. This individual will play a key role in providing practical, business‑focused legal advice across the organization, including substantial support for international operations. The role covers a broad range of corporate, commercial, compliance, and governance matters—both domestic and global—and offers the opportunity to contribute strategically to a public company with a multinational footprint.
Key Responsibilities
Corporate & Securities
- Support the preparation, review, and filing of SEC reports and disclosures, including Forms 10‑K, 10‑Q, 8‑K, proxy statements, Section 16 filings, and related governance documents.
- Assist with NYSE compliance and governance matters, including board and committee materials.
- Support corporate secretarial functions, including global subsidiary maintenance and corporate governance best practices.
General Contracts and International Transactions
- Draft, review, and negotiate a wide range of cross-border commercial agreements, including supply, distribution, agency, procurement, licensing, joint‑development, confidentiality, and service agreements.
- Support contracting needs related to technology, data, and intellectual property, including software licensing, cloud services agreements, data processing and data‑sharing agreements, technology development and joint‑innovation agreements, and IP licensing and protection matters
- Support development and refinement of contract templates, playbooks, and contract management processes.
- Provide practical legal guidance to internal teams across multiple regions and time zones, ensuring contracts align with company objectives while managing legal, regulatory, and operational risk.
Global Compliance & Risk Management
- Advise on international compliance matters, including anti‑corruption (FCPA and other local laws), trade compliance and export controls, data privacy (GDPR and other regional frameworks), and sanctions, customs, and import/export requirements
- Support internal investigations involving international operations and coordinate with foreign counsel as needed.
- Assist in developing and maintaining global policies, training, and compliance programs.
Oversight of Outside Counsel & Litigation Management
- Manage and oversee outside counsel handling litigation, regulatory matters, IP issues, employment claims, and specialized subject areas.
- Support litigation strategy, case assessments, discovery, budgeting, and reporting.
- Coordinate internal fact-gathering and manage interaction between business teams and external legal resources.
- Ensure cost-effective and high‑quality legal service delivery consistent with company expectations.
Strategic Projects
- Support global acquisitions, investments, joint ventures and other strategic transactions, including cross-border due diligence and integration.
- Provide legal support on international regulatory issues and global enterprise risk management.
Required Qualifications
- J.D. from an accredited law school.
- Active membership in at least one U.S. state bar.
- 7+ years of legal experience, with some combination of law firm and in-house experience (public company experience preferred).
- Demonstrated experience with international contracting, cross‑border legal issues, and management of foreign counsel.
- Proven capability advising on global compliance issues such as anti‑corruption, trade controls, and data privacy.
- Strong business judgment and the ability to provide practical, solution‑oriented advice to worldwide stakeholders.
- Excellent communication, drafting, and interpersonal skills.
Preferred Qualifications
- Experience handling SEC, NYSE and corporate governance matters.
- Experience supporting the legal needs of global manufacturing, industrial, or technology businesses.
- Working knowledge of global legal frameworks.
